Terms and Conditions for Investment Seekers

B2B Growth Hub Investors Pitch Fest

By submitting your proposal and participating in the Investors Pitch Fest organised by B2B Growth Hub and its associated brands (hereinafter referred to as "B2BGH"), you (the "Investment Seeker", "Founder", or "Business Owner") agree to the following Terms and Conditions:

1. Role of B2B Growth Hub

1.1. B2BGH acts as an

intermediary and facilitator

between investors and investment seekers through the Pitch Fest platform.

1.2. While B2BGH

does not guarantee any investment

, we offer optional

paid services

which may include

Financial advisory

tailored to investment preparation and structuring;

Due diligence services

post-pitch to validate and strengthen your offer;

Business growth and pitch-readiness support

for future investment rounds, especially in the event of an unsuccessful pitch.

1.3. These services are offered

separately under a distinct engagement

and fee structure. No such service is implied by participation in the Pitch Fest alone.

2. Proposal Submission

2.1. You warrant that all information in your investment proposal is accurate, complete, and not misleading.

2.2. You are solely responsible for all claims made about your business and for ensuring that all shared materials and projections are lawful and compliant with regulatory requirements.

3. No Guarantee of Investment

3.1. Participation in the Investors Pitch Fest

does not guarantee

any investment, commitment, or follow-up engagement by any investor.

3.2. B2BGH will not be liable for any investor's decision to reject, delay, or withdraw from a funding discussion or agreement.

4. Success Fee Structure

4.1. If you secure an investment (in full or part) as a result of introductions, exposure, or meetings arranged by B2BGH, the following success fees shall apply:

of the total amount raised up to

£500,000

4%

of the amount raised between

£500,001 and £1,000,000

3%

of the amount raised

above £1,000,000

4.2. Fees are

due within 14 days

of funds being received or a formal investment commitment being made.

4.3. You are required to

notify B2BGH in writing

upon receiving any investment resulting from your participation in the Pitch Fest or related introductions.

5. Non-Circumvention

5.1. You agree not to bypass or circumvent B2BGH by entering into direct arrangements with any investors introduced through the Pitch Fest

without settling the applicable success fees

5.2. This obligation remains in effect for

24 months

from the date of introduction.

6. Confidentiality and Data Protection

6.1. B2BGH respects the confidentiality of your business information and proposals but shall not be held liable for any unauthorised use or distribution by third parties.

6.2. We recommend taking appropriate protective measures (e.g., NDA, IP safeguards) before sharing sensitive material.

7. Additional Paid Services

7.1. B2BGH offers additional optional services that may support your investment journey, which include:

Financial advisory, forecasting, and investor relations strategy

Independent or joint due diligence

Business review, valuation support, and document preparation

Post-pitch coaching, readiness assessments, and assistance for re-pitching

7.2. These services are provided under separate contracts and pricing. No such service is included unless explicitly agreed and paid for.

8. Compliance with Laws

8.1. You are responsible for ensuring your business complies with all applicable laws, licensing, and tax regulations.

8.2. B2BGH disclaims any liability arising from your non-compliance with legal or regulatory obligations.

9. Limitation of Liability

9.1. B2BGH accepts no liability for any direct or indirect loss, including lost investment opportunities or business damages, resulting from participation in the Pitch Fest.

9.2. All interactions between investment seekers and investors are undertaken at your own risk.

10. Amendments

10.1. B2BGH reserves the right to modify or update these terms at any time. Any updates will be posted on our website and will become effective immediately upon publication.
